Welcome to Sustainza. These Terms and Conditions ("Terms") govern your access to and use of the Sustainza platform, including our website, mobile applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Agreement to Terms

By creating an account, placing an order, or otherwise using our Services, you acknowledge that:

• Product descriptions, images, and specifications are provided by suppliers
• We do not guarantee the accuracy, completeness, or reliability of supplier-provided content
• Prices and availability are subject to change without notice
• We reserve the right to limit quantities or refuse orders

Eco-Certifications

While we verify supplier certifications, buyers should conduct their own due diligence. Certification claims are the responsibility of suppliers, and we disclaim liability for any inaccuracies in certification information.

4. Orders and Payments

Order Acceptance

Your order is an offer to purchase products. We or the supplier reserve the right to:

• Accept or reject orders at our discretion
• Verify order details and availability before processing
• Cancel orders due to pricing errors, product unavailability, or fraud concerns
• Require additional verification for large orders

Pricing and Payment

All prices are in U.S. dollars unless otherwise stated. You agree to:

• Pay all charges at the prices in effect when you place your order
• Provide valid payment information
• Pay applicable taxes, shipping, and handling fees
• Authorize us to charge your payment method for all fees

Subscription Plans

For subscription services (Professional and Enterprise plans), charges recur automatically until you cancel. You can cancel at any time, but no refunds will be provided for partial periods.

5. Shipping and Delivery

Shipping terms and delivery timeframes are provided by suppliers and may vary by:

• Product type and size
• Delivery location
• Carrier availability
• Weather and force majeure events

Risk of loss and title for products pass to you upon delivery to the carrier. We are not responsible for delays or damages during shipping.

6. Returns and Refunds

Our return policy allows returns within 30 days of delivery for:

• Unused materials in original packaging
• Products with manufacturing defects
• Incorrect items shipped

The following are not eligible for return:

• Custom-ordered or special-order items
• Opened or used materials
• Products damaged due to improper storage or handling

Return shipping costs are the responsibility of the buyer unless the return is due to our error or product defect.

7. Intellectual Property

All content on the Sustainza platform, including but not limited to:

• Text, graphics, logos, and images
• Software, code, and databases
• Platform design and functionality
• Trademarks and service marks

are owned by Sustainza or our licensors and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. User Content

By submitting content (reviews, comments, images), you:

• Grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your content
• Represent that you own or have permission to use the content
• Agree your content does not violate any laws or third-party rights
• Acknowledge we may remove content at our discretion

9. Disclaimers and Limitation of Liability

Service "As Is"

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation

Limitation of Liability

To the maximum extent permitted by law, Sustainza and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from use or inability to use the Services
• Damages related to third-party content or actions

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless Sustainza and its affiliates from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your use of the Services
• Content you submit or transmit

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in Portland, Oregon, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. You waive your right to participate in class actions or class arbitrations.

12. Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause or notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Harm to our business, reputation, or other users
• Extended periods of inactivity

Upon termination, your right to use the Services immediately ceases. Provisions that by their nature should survive termination (including liability limitations and dispute resolution) shall remain in effect.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:
